Important Notice for Business Owners: Corporate Transparency Act and Beneficial Ownership Reporting Requirements
We would like to inform business owners about an important update related to the Corporate Transparency Act (CTA). As of January 1, 2024, the new federal regulation requires many businesses to file reports disclosing their beneficial owners—those individuals with 25% or more ownership or control—with the U.S. Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN).
Who Needs to File?
According to the United States Small Business Administration (SBA), the following entities may need to file:
Corporations
Limited Liability Companies (LLCs)
Entities registered with the Secretary of State’s Office or under the laws of an Indian Tribe
If your business was formed before January 1, 2024, the filing deadline is January 1, 2025. Businesses formed on or after January 1, 2024, have 90 days from the date of formation to complete their reports. Additionally, any changes to ownership must be reported within 30 days of the change.
Filing this report is free, but penalties may apply for non-compliance. Some entities, including 501(c) not-for-profit organizations, are exempt from this requirement.
Beware of Scams
We want to warn business owners to be cautious of fraudulent solicitations. Some companies have been contacting small businesses, offering to file reports for high fees, and attempting to collect sensitive information such as driver’s license numbers or bank account details. Be aware that these solicitations may be scams. The IRS and FinCEN will never initiate contact by phone, text, or email. Contact a reputable accountant or accounting firm for assistance if you are unsure.
